Banking and Finance

At STA, our banking and finance lawyers provide bespoke legal counsel to banks, financial institutions and intermediaries on broad range of banking, anti-money laundering, compliance and regulatory matters.

Historically, finance has always been an 'international' character; capital has always been mobile. Money has moved freely across borders for all of civilization with gold and silver being global currencies for millennia. With the passage of time, money has been reverting to its natural state, with removal of capital controls and the gradual re-integration of national capital and banking markets but - now on a global scale.

Rapid advancements in the field of technology, the free movement of capital globally and the need to service an increasingly global clientele are creating opportunities that call for establishment of new world-class financial centers.

STA has a dynamic group of banking and financial services experts. Our team specialises in high-value, sophisticated transactions, as well as complex legislative and industry issues. Our attorneys have the experience to negotiate and prepare contracts and documents for all types of transactions, including banking, brokering, underwriting and private placement.

Our banking and finance team offers specialized services for major aspects of finance, including loan finance, asset finance, project finance, structured products, debt restructuring, debt capital markets and dealing with corporate insolvency matters. Our senior attorney does advise on:

  • asset finance
  • asset management and investment funds
  • banking
  • commodity and energy trading
  • corporate recovery and restructuring
  • derivatives
  • financial markets litigation
  • insurance and reinsurance
  • islamic finance
  • listing and continuing obligations
  • private funds

  • taxation

Islamic finance has gained greater appreciation amongst the masses, particularly in the Middle East. The sector continues to grow in international markets and our attorneys have successfully advised conventional banks on how to expand their expertise in this area. Islamic finance has grown significantly in the recent past and continues to gain momentum. STA attorneys’ experiences on major aspects of Islamic finance include takaful (insurance), murabaha, Istisna, ijara and listing of sukuk on the Dubai International Financial Exchange (DIFX). We advise financial institutions on the advantages that this field offers to the traditional banking system. Islamic finance is a complex field and requires the expertise and application of shariah principles. Our attorneys ensure that the best international practices and standards are integrated and taken into account for our clients, and at the same time we ensure that shariah compliance is not compromised.

Financial Regulatory

Our attorneys provide bespoke advice to clients on the regulation programs and codes set by the Dubai Financial Services Authority (DFSA), UAE Central Bank, United Kingdom Financial Services Authority (FSA), Securities and Exchange Board of India (SEBI) and other key market regulators including the UAE Ministry of Finance, UAE Ministry of Corporate Affairs and UAE Ministry of Economy and Commerce.

Financial regulation includes advising financial institutions and non-banking financial institutions on matters of compliance with the standards set by the relevant authority.

The financial services industry is ever-growing and remains unpredictable. This industry extends to numerous regional and cross border establishments. Our clients include banks, insurance agencies, hedge funds, asset management firms, government sector regulatory authorities. Our financial regulatory advice and assistance extends to non-banking sectors often in matters involving complex developments. STA attorneys are trained in matters of international taxation and finance. Our corporate team works closely with the financial regulatory team and offers tailored corporate and commercial law advice to our clients.

Asset Based Finance

We handle almost all types of asset-based lending transactions, including discreet collateral (personal, real or intellectual property), subordinated debt, inter-creditor arrangements, and other matters important to asset based lending clients. Our lawyers in the Banking and Finance division have substantial experience in the area of asset-based lending.

Our partners have in the past advised troubled asset-based lending institutions with strategies that are formed from our experience over many years of liquidations, bankruptcy events, lender liability issues, troubled finances, and force-majeure events. We evaluate fraudulent transfers, priority and other collateral and credit issues, the structuring of credit facilities, and the negotiation and collateral of documents. Occasionally however, we also represent borrowers or guarantors in the negotiation and documentation of commercial loans.
